Terms and Conditions of Service

Effective Date: November 2026. Please read these Terms and Conditions carefully before creating an account or using RelayWA software and API services.

1. Acceptance of Terms

By accessing the RelayWA website (relaywa-web-production.relaywa-ogemsync.workers.dev), signing up for a workspace, or using the RelayWA REST API, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you are accepting on behalf of an enterprise or entity, you represent and warrant that you possess full legal authority to bind that entity.

2. Account Registration & API Key Security

To use RelayWA, you must register with a valid work email address and complete email verification. You agree to provide accurate and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your account password and API keys.
  • All actions, message dispatches, and wallet expenditures originating from your workspace.
  • Immediately notifying RelayWA support if you suspect unauthorized access or compromised API keys.

3. Acceptable Use Policy (Anti-Spam Rules)

RelayWA strictly enforces a clean messaging ecosystem. You agree that you will never use our platform to:

  • Transmit unsolicited bulk spam, cold marketing campaigns, or deceptive promotions to individuals who have not explicitly opted in to receive communication from your organization.
  • Engage in phishing, social engineering, impersonation of financial institutions, or fraudulent schemes.
  • Distribute malicious software, spyware, viruses, or illegal material.
  • Harass, threaten, defraud, or violate the intellectual property or privacy rights of any person.

Violations of this Acceptable Use Policy result in immediate account termination without notice and complete forfeiture of remaining wallet balances.

4. WhatsApp Multi-Device Connection

RelayWA utilizes the open-source Baileys multi-device protocol to establish a direct linked device connection to your phone number. You acknowledge and agree that:

  • You are the registered owner or authorized licensee of the phone number connected to your RelayWA session.
  • You remain solely responsible for adhering to WhatsApp’s Terms of Service and Business Messaging Policies.
  • RelayWA is an independent software tool and is not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc. or WhatsApp LLC.
  • You acknowledge that improper use, spamming, or high user block rates on your phone number can result in restrictions or bans imposed directly by WhatsApp on your SIM or account. RelayWA is not liable for bans resulting from customer violations.

5. Wallet, Message Pricing & UPI Payments

Messaging operates strictly on a pay-as-you-go integer paise wallet basis:

  • Authoritative Rates: Messages are debited in real-time according to the rates published at /pricing (e.g. ₹0.80 for text/images, ₹1.00 for videos/documents, ₹0.40 for stickers).
  • Welcome Credit: Verified accounts receive a one-time ₹10 promotional welcome credit. This credit has no cash value and cannot be withdrawn or transferred.
  • UPI Top-Ups: Recharge payments must be sent to the official UPI ID sumanmalikrepo@slc. Customers must submit their valid transaction/UTR reference and amount in the dashboard wallet. Credits are applied once verified by administrators.
  • Pre-Send Failure Refunds: If an accepted message encounters a confirmed pre-send failure or is cancelled before dispatch authorization, 100% of the debited amount is returned to the customer wallet.

6. Intellectual Property Rights

All rights, title, and interest in RelayWA, including the edge worker infrastructure, dashboard interface, software libraries, trademarks, and documentation, are and remain the exclusive property of RelayWA Technologies.

You retain complete ownership of all media, documents, and messages submitted through your workspace.

7. Suspension & Termination

We may suspend or terminate your account immediately if:

  • You breach these Terms or the Acceptable Use Policy.
  • You initiate an external payment dispute or chargeback without prior support communication (as outlined in our Refund Policy).
  • Your phone number generates excessive user spam reports or poses security risks to our infrastructure fleet.

8. Disclaimer of Warranties

RELAYWA SERVICES AND APIS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OPERABILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYWA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU INTO YOUR RELAYWA WALLET DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Bengaluru, Karnataka, India.
